Terms of Use

Last updated: 29 September 2026

These Terms of Use (“Terms”) govern access to and use of the Recnice software and related services (“Recnice” or the “Service”) provided by Oleh Yevhenovych Havryliuk, a sole proprietor registered in Ukraine (“Provider”, “we” or “us”). Contact: contact@recnice.com.

Recnice is designed for organizations to operate employee recognition and rewards programs. An organization that obtains access to the Service is the “Customer”; a person it authorizes to use the Service is an “Authorized User”. By accepting these Terms on behalf of a Customer, you confirm that you have authority to do so. An Authorized User must follow these Terms when using the Service. If you do not agree, do not use the Service and contact the Customer administrator.

1. Relationship with the Customer agreement

These Terms set the rules for using the Service. Pricing, payment, subscription period, service commitments and any other commercial terms are governed by the applicable agreement, order or offer accepted by the Customer and the Provider (“Customer Agreement”). A separately agreed data processing agreement (“DPA”) governs processing of Customer Data to the extent required by applicable law. If there is a conflict, the DPA controls for data processing, the Customer Agreement controls for commercial matters, and these Terms otherwise control use of the Service. These Terms do not create an automatic renewal, automatic payment or free trial conversion unless the applicable Customer Agreement expressly provides for it and applicable law permits it.

2. Access and administration

The Customer decides which Authorized Users may access its workspace, assigns permissions and administers their access. An Authorized User may use the Service only for the Customer's internal business purposes, within the permissions granted by the Customer and the Service's intended functionality. The Customer is responsible for its configuration, its authorized use of the Service, and instructions it gives to the Provider, subject to the Provider's own obligations under law and the Customer Agreement.

Users must keep credentials confidential, use reasonable measures to protect their accounts, and promptly report suspected unauthorized access to the Customer administrator or to us. Users must not share credentials or allow anyone else to use their accounts. We may rely on instructions from persons the Customer designates as administrators, subject to reasonable security checks; we do not treat every action by a user as automatically approved by the Customer.

3. Limited right to use Recnice

Subject to these Terms and the Customer Agreement, we grant the Customer and its Authorized Users a limited, non-exclusive, non-transferable right to access and use the Service during the applicable access period. No ownership of the software, source code, design, databases, trademarks or other Provider materials is transferred. Rights not expressly granted remain with the Provider or its licensors. The Customer retains its rights in information, content and materials it or its users submit to the Service (“Customer Data”).

The Customer grants us only the rights reasonably necessary to host, transmit, display, secure, maintain and otherwise process Customer Data to provide the Service and carry out its documented instructions, including through authorized service providers. We do not receive a general license to publish, advertise with, sell or independently exploit Customer Data. The Customer determines which of its users may see Customer Data through its workspace settings.

4. Customer Data and lawful use

The Customer is responsible for having an appropriate legal basis and providing required notices for the personal data it enters into or processes through the Service, including employee data. The Customer must ensure that its content and instructions comply with applicable law and third-party rights. We process Customer Data on the Customer's documented instructions and under the applicable DPA, except where law requires otherwise. Our handling of personal data is described in the Privacy Policy; the policy is a notice, not a substitute for a DPA or a lawful basis for processing.

Where features provide analytics, AI-assisted summaries or other insights, the Customer controls whether and how to use their outputs. Such outputs are informational, may be incomplete or inaccurate, and should be reviewed by a qualified person before employment or other consequential decisions. The Customer remains responsible for its employment decisions and legal obligations. We remain responsible for our own obligations under applicable law and the Customer Agreement.

5. Acceptable use and security

The Customer and Authorized Users must not:

(a) use the Service unlawfully, infringe the rights of others, upload unlawful content or send spam or malicious code;

(b) seek unauthorized access to another account, workspace, system or data, bypass access controls, or interfere with the Service's security or availability;

(c) copy, distribute, publish, sublicense or make the Service or its source code available to third parties, except as expressly permitted in writing;

(d) reverse engineer, decompile or modify the software, except to the extent a restriction is prohibited by applicable law; or

(e) continue to use the Service after their access rights end.

Information about another Customer or our non-public systems that a user encounters through an error or unauthorized access must not be disclosed or exploited and should be reported promptly. This does not restrict disclosures protected or required by law.

6. Availability, changes and support

We may maintain, modify or improve the Service and may temporarily limit access for maintenance, security, legal compliance or operational reasons. Material changes that substantially reduce contracted functionality will be handled under the Customer Agreement. Any service levels or support commitments apply only if expressly agreed in the Customer Agreement.

7. Suspension and end of access

The Customer may change or revoke a user's access. We may suspend access where reasonably necessary to address a security threat, unlawful use, a material breach of these Terms, or another ground stated in the Customer Agreement. Where practicable, we will notify the Customer and provide an opportunity to remedy the issue. Access may end under the Customer Agreement or applicable law. The return or deletion of Customer Data following termination is governed by the Customer Agreement and DPA, subject to applicable legal retention duties.

8. Warranties and responsibility

Except for commitments expressly made in the Customer Agreement, the Service is provided on an “as available” basis. To the extent permitted by applicable law, we do not promise uninterrupted or error-free operation, a particular business outcome, or suitability for every Customer use case. The Customer is responsible for its users' permissions, content and decisions, and for losses caused by its own unlawful instructions or misuse. We are responsible for losses to the extent caused by our breach of a binding obligation or applicable law.

To the extent permitted by law, neither party is liable under these Terms for indirect or consequential loss, including lost profits, arising from the other's use of the Service. Any agreed monetary limit on liability is set out in the Customer Agreement. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, intentional misconduct, or personal injury where such exclusion is prohibited. These Terms do not limit individuals' statutory data protection rights or override the DPA.

9. Changes to these Terms

We may update these Terms and display the revised version with its revision date. For a material change affecting existing Customers, we will provide reasonable advance notice through the Service or the Customer's contact details where practicable. Changes do not apply retroactively to completed transactions. If a Customer does not accept a material change, its rights and remedies are governed by the Customer Agreement and mandatory law. Continued use after the effective date of a duly notified change may indicate acceptance where applicable law permits.

10. Governing law and other provisions

Unless the Customer Agreement provides otherwise, these Terms are governed by the laws of Ukraine, without excluding mandatory protections that apply under another jurisdiction's law. The competent courts are determined by the Customer Agreement and applicable procedural law. If any provision is unenforceable, the remaining provisions remain effective to the extent possible. A failure to enforce a provision is not a waiver of it.

Questions about these Terms may be sent to contact@recnice.com.
